1. GENERAL INFORMATION AND PURPOSE

1.1. Service Provider: The digital platform bidexia.com (hereinafter, the "Platform" or "Bidexia") is owned by Lumsden Auctions, with registered office at Calle Los Nazarios 10B, Formentera del Segura, provided with Tax Identification Number ESY6180200E.

1.2. Purpose: These General Terms of Use (hereinafter, the "Terms") aim to regulate the access and use of the Platform, which serves as a digital space facilitating Users (Sellers and Buyers) to publish listings and conclude purchase agreements for products and services via classifieds or price-based auctions.

1.3. Nature of the Service: Bidexia acts solely as a technological intermediary connecting Sellers and Buyers. The sales contract is executed directly and exclusively between the Seller and the Buyer, who are solely responsible for its fulfilment and for all resulting legal, fiscal, and contractual obligations. Bidexia is not a party to such contract.

2. ACCEPTANCE AND VALIDITY

The use of the Platform confers the status of User and implies the full and unreserved acceptance of each and every provision included in these Terms, the Privacy Policy, and the Cookies Policy.

3. USER REGISTRATION AND ACCOUNT

3.1. Requirements: Only natural persons of legal age with the legal capacity to contract may register and use the Platform. Users acting on behalf of a company guarantee that they have the necessary capacity and authorization to bind that entity.

3.2. Registration Process: The User must provide truthful, accurate, and complete information. The User is solely responsible for maintaining the confidentiality and security of their password and for all activities that occur under their account.

4. PLATFORM OPERATION (ROLES AND TRANSCTIONS)

4.1. The Seller: a. Listing: The Seller must ensure that the goods or services offered exist, are lawful, and comply with all applicable regulations (including licenses, taxes, and labelling). b. Truthfulness: The description, images, price, and terms of sale (including shipping costs, return policy, and warranty) must be accurate and complete. c. Sale Modalities: * Classified (Fixed Price): The Seller sets an immutable price. * Auction: The sale is awarded to the bidder who places the highest bid upon the expiration of the set time limit. d. Contract Perfection: The purchase agreement between the Seller and the Buyer is considered perfected at the moment when: (i) in Classifieds, the Buyer accepts the offer at the fixed price; or (ii) in Auctions, the time limit expires, and the winning bidder is identified.

4.2. The Buyer: The Buyer undertakes to pay the purchase price and associated costs (shipping, taxes, and applicable fees as detailed in Section 5.1) to the Seller in the form and manner established in the offer.

4.3. Prohibited and Restricted Items: The listing, sale, or auction of illegal, dangerous items, items infringing upon third-party rights, or any item that violates Spanish or European laws is strictly prohibited. This includes, but is not limited to:

Illegal Goods: Drugs, drug paraphernalia, or any goods or services promoting illegal acts. Weapons and Dangerous Goods: Firearms, ammunition, explosives, hazardous chemicals, and any item designed to inflict harm. Adult Content: Pornographic materials or sexually explicit content, especially involving non-consensual or illegal activities. Financial Instruments: Securities, bonds, currency, or other monetary instruments, except collectible coins clearly sold as collectibles. Intellectual Property Infringement: Counterfeit items, replicas, unauthorized copies of copyrighted material (movies, music, software), or items that infringe upon trademarks or patents. Live Animals: Trading in live animals, especially endangered or regulated species (Flora and fauna protected by CITES and Spanish law). Human Body Parts: Organs, blood, bodily fluids, or other human remains. Stolen Goods: Items obtained through illegal means. Hate Speech/Discriminatory Content: Items or listings that promote violence, discrimination, or hate based on race, gender, religion, sexual orientation, etc. Bidexia reserves the right to remove any listing and suspend any User account that violates this policy, without prior notice.

5. FEES AND BILLING

5.1. Commissions and Fees: The use of the Platform may generate various fees. Both the Seller and the Buyer may be liable for fees, including, but not limited to, a Commission per Sale, listing fees, payment processing fees, or final value fees. All applicable fees for both parties are governed by the official fee schedule published at Site Fees | Bidexia by Lumsden Auctions

5.2. Impuestos: All fees and commissions will be stated with or without Value Added Tax (VAT) or other applicable taxes, in accordance with Spanish fiscal regulations.

6. EXCLUSION OF BIDEXIA'S LIABILITY

6.1. Content and Transactions: Bidexia does not guarantee the veracity, accuracy, or legality of the content, offers, or listings published by Users, nor the quality, safety, or legality of the items offered.

6.2. Contractual Compliance: Bidexia assumes no liability for the non-fulfillment of obligations between the Seller and the Buyer, including, but not limited to, issues with payment, delivery, product defects, or the application of the legal warranty. Users must resolve their disputes directly.

6.3. Legal Warranties and Right of Withdrawal: Sellers who are businesses or professionals (B2C) must comply with Royal Legislative Decree 1/2007 (Spanish Consumer and User Law) regarding warranties and the right of withdrawal, where applicable. Bidexia does not manage or guarantee these rights.

7. PERSONAL DATA PROTECTION AND INTELLECTUAL PROPERTY

7.1. Data Protection: Users' personal data will be processed in accordance with the provisions of the General Data Protection Regulation (GDPR) and Organic Law 3/2018 (LOPDGDD). 7.2. User Content (Intellectual Property): The User grants Bidexia a non-exclusive, transferable, royalty-free, and worldwide license to use, reproduce, modify, adapt, publish, and distribute the content (images, texts) uploaded to the Platform for the purpose of providing the service.

8. APPLICABLE LAW AND JURISDICTION

8.1. Applicable Law: These Terms shall be governed by and interpreted in accordance with Spanish law.

8.2. Jurisdiction: For the resolution of any dispute that may arise between Bidexia and Users (not considered consumers), the parties submit to the Courts and Tribunals of the city of ALICANTE, expressly waiving any other jurisdiction that may correspond to them. In the case of Users acting as consumers, the competent jurisdiction shall be that of their domicile.
